This document records the commercial agreement reached between Buyer and Producer through WineAfrica. It forms the agreed basis for the subsequent legally binding contract.

2. Agreed logistics responsibilities

WineAfrica coordinates and routes the overall logistics process. Responsibilities for the individual stages have been agreed. Final providers, quotations, transport prices and exact execution dates may be determined during execution.

WineAfrica logistics orchestration

WineAfrica remains responsible for orchestration, coordination and routing of the overall logistics process. Individual logistics activities may be performed by Buyer, Producer, WineAfrica or specialist service providers.

3. Operational details remaining open

Execution-level details are not part of the commercial agreement.

The following may be completed during execution: logistics provider selection, transport quotations, final transport price, exact transport date and other execution-level details.

4. Compliance

Destination-market labelling

Destination-market labelling requirements must be confirmed before final print and bottling. WineAfrica will check the applicable requirements before execution to avoid rework.

5. Nature of this Agreement / LOI

This Agreement / Letter of Intent records the commercial understanding reached through the WineAfrica negotiation process and provides the agreed basis for preparation of the subsequent contract.

The legally binding contract will be prepared after the identities and legal details of the contracting parties have been disclosed and verified.

6. Next step

Real-name disclosure required

The commercial agreement has been reached. The next step is the controlled disclosure and verification of the real identities and legal details of Buyer and Producer.
